By accessing or using the Services, Customer agrees to be bound by these Terms. If accepting on behalf of a legal entity, the individual represents they have authority to bind that entity.

Airdec provides services exclusively to businesses and professional organisations. The Services are not intended for personal, household, or consumer use.

3. Description of Services

Airdec provides sales and marketing analytics software, including advertising performance reporting, lead collection and management, AI-assisted insights, and related integrations. Airdec may modify, improve, or discontinue features at its discretion. Material reductions in functionality will be subject to the notice process described in the Changes to These Terms section.

4. Trial Access

Airdec may provide prospective customers with a free trial prior to activation of a paid subscription. Trial access is provided for assessment purposes only, may be limited in functionality, duration, or availability, and does not require a payment method.

On trial expiry, access may be gated to a locked or read-only state. Customer Data is not deleted as a result of trial expiry alone. Airdec may modify or terminate trial access at any time.

5. Customer Accounts

Customer accounts may be created through self-registration or provisioned by Airdec where agreed. At least one organisation member must hold the billing admin role at all times.

Customer is responsible for maintaining the security of account credentials, managing user permissions, ensuring authorised use of the Services, and all activities occurring under its accounts.

6. Subscription and Fees

Access to the paid Services requires an active subscription. Subscription fees, billing frequency, and plan details are specified during the subscription process or on the Airdec website. Subscriptions automatically renew unless cancelled before the renewal date. Commercial terms are set out in the Subscription Agreement, which prevails over these Terms on subscription matters.

7. Payment Processing

Payments may be processed by Paddle or other authorised payment providers. Where Paddle acts as Merchant of Record, Paddle is the legal seller of record and transactions are governed by Paddle's applicable terms. Subscription charges may appear on Customer's bank or card statement as "Paddle.com" or "Paddle.net".

Customer agrees to provide accurate billing information and maintain valid payment methods.

8. No Refund Policy

Except where required by applicable law or expressly agreed in writing by Airdec, all fees paid are non-refundable. Partial months, unused subscription periods, or unused features are not eligible for refunds or credits.

9. Failed Payments

If a payment attempt fails, Airdec will attempt to process payment again in accordance with its payment retry schedule. Customer will be notified of each failed attempt and may update payment details during this period.

If payment remains outstanding after all retry attempts and any applicable grace period, Airdec may suspend access, restrict features, or make Customer Data inaccessible until payment is resolved.

10. Customer Data

Customer retains ownership of all data submitted, uploaded, synchronised, or otherwise provided through the Services ("Customer Data"). Customer grants Airdec a limited, non-exclusive right to process Customer Data solely to provide the Services, provide technical support, monitor security, comply with legal obligations, and improve the Services through anonymised or aggregated analysis that does not identify Customer or any individual.

Customer is responsible for obtaining all permissions and rights necessary to provide Customer Data to Airdec. Where Customer Data includes personal data, processing is additionally governed by the Data Processing Agreement.

11. Integrations

The Services may connect with third-party platforms including Meta Ads, Google Ads, Google Analytics, LinkedIn Ads, and TikTok Ads. Airdec is not responsible for the availability, functionality, policies, or actions of third-party services. Changes made by third-party providers may affect Service functionality.

12. AI-Assisted Features

Certain features utilise artificial intelligence technologies, including third-party AI providers. AI-generated outputs are for informational purposes only and do not constitute business, financial, legal, accounting, or professional advice. Customer remains solely responsible for evaluating and acting upon any AI-generated outputs. Airdec makes no guarantee regarding the accuracy, completeness, or suitability of AI-generated content.

13. Acceptable Use

Customer agrees not to:

Airdec may suspend access where it reasonably believes the acceptable use rules have been breached, in accordance with Section 17.

14. Intellectual Property

Airdec retains all rights, title, and interest in the Services, software, documentation, user interfaces, AI systems, and branding. Customer is granted a limited, non-exclusive, non-transferable licence to access and use the Services solely during the active subscription term. No ownership rights are transferred to Customer.

15. Aggregated and Anonymised Data

Airdec may use aggregated, statistical, and anonymised information derived from use of the Services for product development, analytics, benchmarking, security, and operational improvements. Such information will not identify Customer or any individual. Customers may opt out by contacting contact@airdec.com. Opting out does not affect the provision of the Services.

16. Data Export and Retention

Customer may export available data during an active subscription. Following expiration or termination:

Airdec retains Customer Data for as long as necessary to fulfil its legal obligations. Operational data is typically retained for the duration of the relationship plus up to 12 months; financial and legal records for up to 10 years as required by Bulgarian law. Where applicable law requires longer retention, that requirement prevails. Data is deleted or anonymised once the applicable retention period expires.

17. Suspension and Termination

Airdec may suspend or terminate access if Customer breaches these Terms, payment obligations remain outstanding, or use presents security, legal, or operational risks. Customer may terminate subscriptions according to the applicable subscription terms. Termination does not relieve Customer of outstanding payment obligations.

18. Disclaimer of Warranties

The Services are provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, Airdec disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement. This disclaimer does not affect any uptime or service-level commitment expressly stated in the Subscription Agreement.

19. Limitation of Liability

To the fullest extent permitted by law, Airdec shall not be liable for indirect, consequential, or incidental damages, or loss of profits, revenue, business opportunities, goodwill, or data.

Airdec's aggregate liability shall not exceed the fees paid by Customer during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded under applicable Bulgarian law.

20. Confidentiality

Each party agrees to protect confidential information disclosed by the other party and use it solely for purposes related to the Services. Confidentiality obligations survive termination of these Terms.

21. Governing Law

These Terms are governed by the laws of the Republic of Bulgaria.

22. Dispute Resolution

The parties shall first attempt to resolve disputes through good-faith negotiation. If resolution cannot be achieved, disputes shall be submitted to the competent courts of Sofia, Bulgaria.

23. Changes to These Terms

For material changes, Airdec will notify Customer by email to the billing admin address at least thirty (30) days before the changes take effect. If Customer continues to use the Services after the effective date, Customer is deemed to have accepted the updated Terms. If Customer does not accept the changes, Customer may cancel before the effective date without penalty.

Non-material changes (such as typographical corrections or clarifications) may be published without advance notice. Each published version is maintained at a permanent, versioned URL.
